1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Sivy website and campaign management platform (the "Services"), operated by Sivy ("we," "us," or "our"). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. Description of Services

Sivy provides a campaign management platform that includes voter database management, canvassing tools, team coordination, turf assignments, analytics, AI-powered insights, and a mobile canvassing application. The Services are intended for use by political campaigns, candidates, and their authorized teams.

3. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into contracts to use the Services. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity under your account.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable election, privacy, or data protection laws.
  • Upload or store voter data that you do not have lawful authority to collect or use.
  • Harass, intimidate, or discriminate against voters, residents, or other users through the platform.
  • Attempt to access data or accounts you are not authorized to access.
  • Interfere with or disrupt the Services, including introducing malware or attempting to overload the system.
  • Reverse engineer, decompile, or otherwise attempt to extract source code or proprietary data.
  • Use the Services to spam, send unsolicited communications, or violate anti-spam laws.
  • Resell, sublicense, or redistribute access to the Services without our written consent.

5. Campaign and Voter Data

You retain ownership of all voter, resident, and campaign data you upload to the Services. You are solely responsible for the accuracy, lawfulness, and completeness of that data, and for obtaining any necessary consents from individuals whose information you store. Sivy acts as a data processor on your behalf and will not use your campaign data for purposes unrelated to providing the Services, except as required by law.

6. AI-Generated Content

The Services include AI-generated canvassing scripts, briefings, and strategic insights. AI-generated content may be inaccurate or incomplete. You are responsible for reviewing and verifying all AI-generated material before use and for ensuring that scripts and communications comply with applicable election advertising and disclosure laws.

7. Subscriptions and Billing

Paid plans are billed per campaign as described on our pricing page. Subscription fees are charged in advance and are non-refundable except as required by law. We may change our fees with reasonable advance notice. Cancellation of a subscription takes effect at the end of the current billing period.

8. Intellectual Property

The Services, including its design, software, features, and branding, are owned by Sivy and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or proprietary content except as expressly permitted. Your campaign data and custom content remain your property.

9. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Services if you violate these Terms, if your account is inactive, or if required to protect the platform or other users. Upon termination, your right to use the Services ends immediately. You may export your data before termination; we may delete data after a reasonable retention period.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted, error-free, secure, or that analytics or AI insights will be accurate. You use the Services at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, Sivy and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, campaign results, profits, or revenue, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Sivy and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party rights, including misuse of voter data.

13. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

14. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised "last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising from these Terms or the Services.
